I found an S model instrument panel and I want to drop it into my I, so if I take out my existing instrument panel and replace it with the new one, will the odometer read the mileage on my car, or on the new instrument panel. Can anyone think of any other complications that I am not currently aware of if I do this?

no, your odo will be off and that's HIGHLY illegal.

I believe the EDU stores the data, however that's pretty much just a back up. The odometer is pretty much self-contained otherwise. The people that have had to have their instrument cluster replaced due to warranty problems ended up with an odometer that was reset, and mazda had to note the original mileage on the car.

Also someone's tried to swap the s-cluster into an i and then nothing worked at all. I don't know what the differences between them are.

Are you just wanting the electrolumincent lighting, or are you looking for a change?
